1. Acceptance of Terms

By accessing or using PriorityBoard ("the Service"), operated by TC Advisory ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

We reserve the right to modify these Terms at any time. We will notify you of changes by updating the "Effective Date" above. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

2. Description of Service

PriorityBoard is a web-based priority management and task organization tool. The Service allows you to create boards, organize tasks, and optionally sync your data using your own Google Sheets or Airtable accounts.

Beta Status: PriorityBoard is currently in beta and is provided free of charge. During this beta period, features may change, be added, or be removed without notice. We may introduce paid features or subscription plans in the future, and we will provide notice before any pricing changes take effect.

3. Eligibility

You must be at least 18 years of age to use this Service. By using PriorityBoard, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

4. User Accounts and Authentication

PriorityBoard does not require you to create an account. You may use the Service without providing any personal information.

If you choose to use optional sync features:

Google Sign-In: You authenticate directly with Google. We do not receive or store your Google password. You are responsible for maintaining the security of your Google account.
Airtable Integration: You provide your own Airtable API credentials. These credentials are encrypted and stored locally on your device. You are responsible for the security of your Airtable account and API tokens.

5. Your Content and Data

Ownership: You retain full ownership of all content you create using the Service, including board titles, tasks, notes, and any other data you input ("Your Content"). We claim no intellectual property rights over Your Content.

Your Responsibility: You are solely responsible for Your Content and for ensuring you have the right to use any materials you include in your boards. You are responsible for backing up Your Content.

Data Storage: Your Content is stored either locally on your device or in your own third-party accounts (Google Drive or Airtable). We do not have access to, and cannot retrieve, Your Content.

6. Acceptable Use

You agree not to use the Service to:

Violate any applicable local, state, national, or international law or regulation
Infringe upon or violate the intellectual property rights or privacy rights of others
Transmit any material that is defamatory, obscene, threatening, abusive, or hateful
Distribute malware, viruses, or any other malicious code
Attempt to gain unauthorized access to the Service, other accounts, or computer systems
Interfere with or disrupt the Service or servers or networks connected to the Service
Use the Service for any commercial purpose not expressly permitted by us
Resell, redistribute, or sublicense the Service without our express written permission
Reverse engineer, decompile, or disassemble the Service except as permitted by law
Use automated systems (bots, scrapers, etc.) to access the Service in a manner that exceeds reasonable use

7. Third-Party Services

The Service integrates with third-party services including Google and Airtable. Your use of these services is governed by their respective terms of service and privacy policies:

We are not responsible for the availability, accuracy, or content of these third-party services, or for any loss or damage arising from your use of them.

8. Future Payment Terms

While PriorityBoard is currently free during beta, we may introduce paid features or subscription plans in the future. If we do:

We will provide advance notice of any pricing changes
Payment processing will be handled by a third-party payment processor (such as Stripe)
You will be subject to additional terms related to billing, refunds, and subscription management
Continued use of paid features will require acceptance of updated terms

9. Intellectual Property

The Service, including its original content, features, functionality, design, and branding (excluding Your Content), is and will remain the exclusive property of TC Advisory. The Service is protected by copyright, trademark, and other applicable laws.

You may not use our trademarks, logos, or branding without our prior written consent.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

The Service will be uninterrupted, secure, or error-free
The results obtained from using the Service will be accurate or reliable
Any errors in the Service will be corrected
The Service will meet your specific requirements

You use the Service at your own risk. We are not responsible for any data loss resulting from your use of the Service.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TC ADVISORY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

Because the Service is currently provided free of charge, our total liability for any claims arising from or related to the Service shall not exceed zero dollars ($0). If and when paid features are introduced, our maximum liability shall not exceed the total fees you paid to us in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless TC Advisory and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

Your use of the Service
Your violation of these Terms
Your violation of any rights of another party
Your Content

13. Termination

You may stop using the Service at any time by simply closing your browser or clearing your local data.

We reserve the right to suspend or terminate your access to the Service at any time, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. Since your data is stored locally or in your own third-party accounts, termination does not affect your access to Your Content through those means.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Maricopa County, Arizona. You consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.

15. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and TC Advisory regarding the Service.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
